We charge mega investors a 100K retainer fee. This fee is credited against NMC's success fee. Which is 25% of the savings that we purchase a business below 6X EBITDA. With the understanding that we eliminate all real estate assets and any securities on the seller's balance sheet from calculating the purchase price and from calculating NMC's success fee. The contract is for one year, but it is automatically extended until 3 such opportunities are offered to the investor. In addition, we permit our mega investors to co-invest with NMC's deal makers. We also arrange for joint meetings with the mega investors and deal makers to generate esprit de corps. Over the year, NMC will hold 4 buffet dinners inviting the deal makers and mega investors to find common ground. Your investment in NMC does not go into any of its’ employees pockets other than a at times 5% finders fee. Not a single NMC employee receives fixed compensation. All NMC employees solely receive a portion of their corporation’s pretax profit. This is the reason why NMC can’t deplete the equity you invest. All investor investments are utilized to fund the acquisitions of profitable companies, with the majority of the purchase price projected to be financed through leverage buyouts, using the target’s assets as collateral for bank financing. Almost every NMC employee is an accredited investor and a self-made millionaire, with rare exceptions.
The remainder of the purchase price is projected to be funded by the very sellers who believe in NMC’s COOP mission, with sellers aiming to grow their respective corporations and obtain a portion of the value of most acquisitions by co-investing in the NMC’s BUYER. NMC has no fixed G&A costs since there are no hourly, weekly, monthly, or annual compensations paid to any NMC employees.
Therefore, the only way that NMC could lose equity is through fraud; hence, a certain portion of each investor’s investment will be utilized to fund D&O & E&O insurance. Sellers contributing a portion of the purchase price they are paid by co-investing in the NMC’s BUYER receive a pro-rata portion of the incremental profits gained by those sellers’ corporations, which are used as consolidators with NMC purchasing add-on corporations through M&A to consolidate their industry. By doing so, redundant G&A variables are eliminated while increasing sales and profits, with a portion of that increase in value to be contributed to those sellers either through a liquidity event or a repurchase ‘put’ of the sellers’ buyers’ equity, paid out annually from 50% of Buyers’ after-tax profits, which is projected to almost double the sellers’ initial purchase price.
